1. Introduction and Acceptance

Welcome to FitProxy! These Terms of Service (the "Terms" or "Agreement") constitute a legally binding agreement between you ("User", "you") and FitProxy LLC. and its affiliates ("FitProxy", "we", "us"). This Agreement governs your access to and use of the FitProxy website, API, proxy network infrastructure, and all related services.

By clicking "Register" or by accessing or using our services, you expressly acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy (AUP). If you are agreeing on behalf of a company, you represent that you have the authority to bind that entity.

2. Modification of Terms

FitProxy reserves the right to modify or update these Terms at any time for legal, compliance, security, or operational reasons. Significant changes will be posted on this page and communicated via email. Continued use of the service after modifications take effect constitutes your irrevocable acceptance of the revised Terms.

3. Service Description and Availability

3.1 Scope: FitProxy provides highly advanced web data collection infrastructure, including dynamic residential proxies, ISP proxies, and datacenter proxies.

3.2 Lawful Purpose: Our services are intended to facilitate lawful market research, competitor analysis, SEO monitoring, and brand protection. FitProxy does not collect or provide target website data directly.

3.3 SLA: We strive to maintain a 99.9% network uptime. However, due to the reliance on third-party ISPs globally, FitProxy is not liable for temporary degradations caused by network congestion or ISP blocks beyond our control.

4. Eligibility and Account Registration

You must be at least 18 years old to enter into this contract. You must provide accurate billing and contact information. While we do not mandate KYC for standard registration, we reserve the right to request identity or corporate verification at any time to comply with Anti-Money Laundering (AML) regulations. Refusal to verify ownership of payment methods will result in account suspension.

5. Strict Acceptable Use Policy (AUP)

Your right to use the service is strictly contingent upon compliance with this AUP. You irrevocably warrant that you will NEVER use FitProxy's network for:

• 5.1 Abuse & Attacks: Initiating DDoS attacks, botnet operations, or unauthorized penetration testing.
• 5.2 Malware & Fraud: Distributing viruses, ransomware, phishing, or engaging in credit card/ad fraud.
• 5.3 Spam: Sending unsolicited mass commercial emails or automated forum spam.
• 5.4 Data Theft: Scraping legally protected Personally Identifiable Information (PII), copyrighted materials, or government secrets.
• 5.5 Bypassing DRM: Circumventing security systems, captchas, or conducting credential stuffing.
• 5.6 Ticketing Bots: Using bots to hoard limited-edition goods or tickets, undermining fair competition.

Violation of the AUP will result in immediate termination without refund and potential reporting to law enforcement.

6. Fees, Billing, and Taxes

Services are billed on a prepaid "Pay-as-you-go" or monthly subscription basis in USD. Subscriptions auto-renew unless canceled. Any unauthorized chargebacks will lead to a permanent network ban. You are responsible for all applicable taxes (VAT/GST) unless a valid exemption certificate is provided.

7. Refund and Cancellation Policy

Because proxy bandwidth is an instantly consumed digital resource, all payments to FitProxy are generally non-refundable. Refunds are only considered if our core infrastructure suffers a verified severe technical failure preventing API access for over 24 hours, and you request a refund within 3 days of purchase, having used less than 5% or 1GB of your quota. Accounts banned for AUP violations receive zero refunds.

8. Intellectual Property

All intellectual property rights in the service, API, algorithms, and trademarks belong exclusively to FitProxy LLC. You are granted a limited, revocable, non-exclusive license to use the service for internal business purposes. Reverse engineering is strictly prohibited.

9. Data Privacy and Compliance

Our data practices comply with the highest global standards, including GDPR, CCPA, and Singapore's PDPA, as outlined in our Privacy Policy.

10. User Content Representations

You bear full legal responsibility for all requests and data routed through our network. You warrant that your scraping activities do not violate target websites' terms of service or any third-party intellectual property rights.

11. Confidentiality

You agree to keep any non-public information, pricing, or API architectures provided by FitProxy strictly confidential and not disclose it to third parties unless required by law.

12. Third-Party Links

We do not endorse and are not responsible for the security or legality of any third-party tools (e.g., anti-detect browsers) mentioned in our documentation.

13. Disclaimer of Warranties

Services are provided "AS IS" and "AS AVAILABLE". FitProxy expressly disclaims all warranties, including merchantability and fitness for a particular purpose. We do not guarantee uninterrupted or completely error-free service.

14. Limitation of Liability and Indemnification

Under no circumstances shall FitProxy be liable for indirect, incidental, special, or consequential damages (including loss of profits or data). Our maximum cumulative liability shall not exceed the amount you paid us in the 30 days preceding the claim. You agree to fully indemnify FitProxy against any third-party claims arising from your abuse of the network.

15. Term and Termination

You may terminate this agreement by closing your account. FitProxy may suspend or terminate your access immediately without notice for reasonable suspicion of breach.

16. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of New Hampshire, USA. For enterprise clients contracted through our Singapore office, Singapore law may apply via specific supplemental agreements. All disputes shall be resolved in the federal or state courts in Manchester, NH.

17. General Provisions

FitProxy is not liable for Force Majeure events (e.g., natural disasters, cable cuts). If any provision is deemed invalid, the remainder shall survive. Failure to enforce a right does not constitute a waiver.
